We hope you enjoy using VisionServer's RSVP Event Service. The following RSVP Event Selling Policy (the "RSVP Event Selling Policy") is designed to help you post events for sale through RSVP Event Service. By posting events for sale on this website, or otherwise using the online calendar, you indicate that you agree with the RSVP Event Service Selling Policy. Types of Events Not Eligible
RSVP Event Service may not allow certain types of events, or seats to certain events, to be posted for sale. Such events are, but not limited to, events that are not art related or contain libelous, defamatory, obscene, pornographic, abusive or otherwise unlawful material. VisionServer has sole discretion to deem any content made available by you to be inappropriate.
Posting Process; Determining the Posting Price, Number of Seats; Expiration Date; When a Posting Becomes Irrevocable; When a Sale Occurs
Account Information:
When you start the process of creating a event posting on RSVP Event Service , if you do not have an account that previously has been used to post events on RSVP Event Service then you will be asked to sign up for a Premier or Business Account with PayPal (a FREE Service) unless you already have a PayPal account to accept payments. If you already have a properly functioning account with such information, you will be able to log in. As you post events for sale, you will be required, or presented with the opportunity to provide, certain additional information. We will use that information related to the event, to determine the restrictions (if any) that will be applied to your posting price, and the number of seats you may sell through RSVP Event Service posting.
Number of Seats in Posting:
You will be asked how many seats are available for your event.
Setting the Posting Price;
Your Proceeds from a Sale: You will also be asked to set your per seat "Posting Price" for the space available in the posting. The "Posting Price" the total amount that a purchaser would pay.You will receive (if your seats were sold and subject to the rest of this Selling Policy), "Your Proceeds," which will equal the Posting Price minus a seller fee of 10% which VisionServer will deduct and retain. The purchaser would pay to VisionServer an amount that equals the Posting Price plus tax if applicable.
Expiration Date:
Each seat will have an "Expiration Date,", which is the 1st day after the event starts. If a seat posting is not ordered by a purchaser on or before its Expiration Date, then the posting will terminate, the seats in the posting will no longer be on sale.
When a Posting Becomes Irrevocable:
You will be able to delete a posting by logging on to VisionServer.net and entering your user name, password, until such time as the seats in a posting are ordered by a purchaser. Simply delete the posting before the seats are ordered. Once seats in a posting are ordered by a purchaser, however, you will not be able stop the sale without reimbursing VisionServer for posted price plus additional fees associated with PayPal and handling.
How to Receive Your Proceeds; Form of Payment
When event seats are sold, the payment has been completed, and the funds have been added successfully to our account VisionServer will transfer funds less agreed upon seller fee and taxes to the contacts PayPal account we have on file.
Refunds, (a) adequate funds to cover refunds must be left in your PayPal account untill after the event.
(b) you agree to pay us for those amounts described in the event that we issue a refund to the purchaser in connection with a cancelled event and for all damages we suffer as a result of fraudulent activity in which you are involved. You may also be required to help PayPal verify the checking or credit card account information you give PayPal, in order for us to remit your proceeds to you. You hereby agree that you will pay us, and that we can charge your account, and withdraw funds from your account, for the amounts described in the event of such a refund and for all damages we suffer as a result of fraudulent activity in which you are involved. Your failure to pay any such amount to us, within five days of us giving you notice that you owe such amount, shall constitute a material breach of this Agreement. We will have the right not to pay you Your Proceeds associated with the sale of seats in a posting unless and until we have received from you, at the proper address, and verified in our sole discretion, and we have completed to our satisfaction authorization and verification procedures on the information on file with PayPal and other information you have provided. When we pay Your Proceeds, we will have the right to do so by depositing them into the PayPal account that we have on file. We have the right to refuse to issue you a check or credit your credit card, and to use such a deposit as our sole means of payment to you.
Liabilities Discharged and Fees Owed for Incorrect Payment Information and Funds Deposited Into Incorrect Accounts; Disclaimers; Roles of the Parties; Additional Representations
YOU AGREE THAT WE HAVE THE RIGHT TO CHARGE YOU FEES AND COSTS ASSOCIATED WITH ANY INCORRECT BANK ACCOUNT INFORMATION YOU GIVE. YOU AGREE THAT IF YOU GIVE US AND/OR PAYPAL INCORRECT, OR SOMEONE ELSE'S, BANK ACCOUNT OR CREDIT CARD INFORMATION AND WE DEPOSIT OR CREDIT FUNDS INTO IT, THEN WE WILL NOT BE LIABLE TO PAY YOU SUCH AMOUNTS, ALL OF OUR LIABILITIES TO YOU FOR SUCH AMOUNTS WILL BE DISCHARGED, AND YOU WILL LOOK SOLELY TO THE RECIPIENT FOR PAYMENT.
Neither we nor anyone else makes any guarantee that any event posted will be purchased through RSVP Event Service. IN NO WAY SHALL OUR (OR OUR AFFILIATES, EMPLOYEES, AGENTS, LICENSEES OR OTHER RELATED PARTIES') AGGREGATE LIABILITY TO YOU RELATED TO YOUR USE OF RSVP Event Service EXCEED THE AMOUNT (IF ANY) OF YOUR PROCEEDS DUE FROM A SALE THAT OCCURS (WHERE SUCH USE IS THAT OF POSTING, TRYING TO POST OR SELLING) (I.E., WE (OR SUCH RELATED PARTIES) WILL NOT OWE YOU ANY MONEY WHERE YOU POST BUT DON'T SELL, OR TRY TO POST BUT DON'T SELL, A EVENT SEAT).
In using RSVP Event Service to sell an event, you will be the event seller; RSVP Event Service is not the seller nor are we the buyer. We are only providing certain services related to your sale. You represent and warrant that you are the rightful owner of each event that you post for sale on RSVP Event Service, that no such event is subject to any liens, claims or other encumbrances, and that you are the authorized artist, agent, performer, sponsor or promoter associated with any event for which you are posting an event on RSVP Event Service You agree not to use RSVP Event Service for any illegal or fraudulent purpose, or to post or sell any event that you do not own and not to impersonate any person or entity, including without limitation, an event holder.
Cancelled Events
If an event for which you have posted a seat becomes cancelled, postponed or rescheduled before you sell it through RSVP Event Service, we will remove your posting. Until a posted event seat is sold, the purchase policies for cancelled, postponed or rescheduled events applicable to the last purchase of a seat through a RSVP Event Service system (e.g., VisionServer.net, RSVP Event Service) (the "Purchase Policy Cancellation Policies") will continue to apply to that event.
If the event is postponed or rescheduled, you will still receive your proceeds from your sale subject to the terms of the RSVP Event Service Selling Policy. However, if the event is cancelled, then, instead of being entitled to receive your proceeds, you will NOT be entitled to receive any funds associated with the event.
If we pay you Your Proceeds in connection with a cancelled event, then you agree that we will have the right to recoup from Your Proceeds the total amount that you received for the event, under the Purchase Policy Cancellation Policies. You agree that we will have the right to recoup this amount through the PayPal account, and that if we are unable, for any reason, to charge and collect from said account this full amount, then we will have the right to request payment from you via written or oral notice. In such case, you will pay us in the payment form (e.g., cashiers check) that we request and by the date that we request.
Taxes
You agree to accurately report and pay all taxes, and RSVP Event Service will not be responsible for paying any, income, sales and other taxes (if any) that are owed in connection with any sale of any of your events or any remission of funds by us to you.
Release of Claims by You; Hold Harmless and Indemnity by You
YOU UNDERSTAND THAT OUR CHARGING OF YOUR PAYPAL ACCOUNT OF MAY CAUSE YOU TO EXCEED CREDIT CARD AUTHORIZATION LIMITS, WRITE CHECKS WITH INSUFFICIENT FUNDS, AND CAUSE YOU NOT TO BE ABLE TO SATISFY YOUR MONETARY OBLIGATIONS. YOU RELEASE, AND AGREE TO INDEMNIFY AND HOLD, US AND OUR AFFILIATES, AND OUR AFFILIATES' OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND CONTRACTORS HARMLESS FROM ANY LIABILITIES, CLAIMS, COSTS OR DAMAGES INCURRED AS A RESULT OF US CHARGING YOUR PAYPAL ACCOUNT, OR CAUSING YOU TO EXCEED YOUR CREDIT LIMITS OR WRITE CHECKS WITH INSUFFICIENT FUNDS.
Invalidation of Event; Other Activities Taken with the Event
By posting an event using RSVP Event Service, you authorize us, upon purchase of the event seat by another person through RSVP Event Service, to cancel and invalidate your right to use or convey the seat, and you acknowledge that the posted seat will thereafter be invalid for entry to the applicable event by you or anyone else (other than the person who acquires that seat via RSVP Event Service (or any person lawfully receiving the seat from such acquirer). We will collect funds from the purchaser and will compensate you for the sale as described above. At any given time, you may not place more than one posting for the same event on RSVP Event Service. Cancelled or invalidated events will not be honored. You agree that you will not sell, convey, give away, forward, otherwise distribute, try to use or take any action that directly or indirectly allows to be cancelled or invalidated: (a) any seat before or during any time that it is posted for sale on RSVP Event Service, (b) any sold, forwarded or otherwise cancelled or invalidated seats, (c) any seat that you have already sold, conveyed, forwarded or otherwise distributed to another, or (d) any seat that is owned by someone other than yourself. Please note that in some cases you may be obligated to return funds collected in connection with a sale, as described under the heading "Cancelled Events" above. |
